Ethics and compliance
The Corporate Culture of the Congregation of the Sisters of the Sacred Heart of Jesus and the Holy Angels is the set of shared values, beliefs, customs and habits, and includes the response to facts, attitudes and/or behaviors that violate the values and ethical principles that the Congregation considers fundamental, regardless of whether or not they constitute a crime.
The Congregation’s Regulatory Compliance Model, called Corporate Compliance, is fundamentally based on the adoption and execution of monitoring and control measures, the periodic review of the Model, the existence of an autonomous and independent body responsible for ensuring its operation, called the “Ethics and Compliance Committee”, the Community Code of Conduct, the Complaints Channel and a system of continuous training and information on Regulatory Compliance.
THE COMMITMENT OF THE CONGREGATION OF THE SISTERS OF THE SACRED HEART OF JESUS AND THE HOLY ANGELS
The General Council of the Congregation of the Sisters of the Sacred Heart of Jesus and of the Holy Angels understands ethical and social responsibility – as well as a moral obligation – as an opportunity to generate value in the society in which it operates and to guarantee development and sustainability. For this reason, it is committed to meeting and exceeding the requirements established by law.
This declaration of principles and ethical values that define the identity of the Congregation of the Sisters of the Sacred Heart of Jesus and of the Holy Angels is set out in the Code of Conduct, which sets out in detail both the cultural values and the principles of action of the members and staff of the houses and/or residences, as well as their communities.
CODE OF CONDUCT
It contains the ethical principles of action that govern the persons who carry out their activities in the Congregation of the Sisters of the Sacred Heart of Jesus and of the Holy Angels, as well as in their homes and/or residences, or on their behalf. The Code is complemented by policies and standards developed by the different areas of activity of the Community, with the aim of complying with the general and specific legal requirements of the sector in which it operates.
COMPLIANCE ORGAN
Autonomous and independent body responsible for supervising the operation and compliance of the Corporate Compliance model of the Congregation of the Sisters of the Sacred Heart of Jesus and the Holy Angels.
This body is made up of:
The Mother General of the Congregation, as director of the compliance body.
The General Secretary of the Congregation, as a member of the compliance body.
The Legal Advisor of the Congregation, as a member of the compliance body.
The Compliance Advisory Legal Officer, as secretary of the compliance body.
Additionally, each house or residence in which the Congregation’s activities are carried out has a person responsible for representing the Congregation’s compliance body.
COMMUNICATIONS AND/OR COMPLAINTS CHANNEL
The reporting channel is the means of communication that the Congregation of the Sisters of the Sacred Heart of Jesus and the Holy Angels makes available to employees, clients, suppliers, and any other interested party, to report, in good faith and without fear of reprisals, any illicit act, irregularity, breach of the Code of Conduct or unethical conduct observed in an employee, manager or representative of the Congregation of the Sisters of the Sacred Heart of Jesus and the Holy Angels during the development of their activity.
This channel is established as a channel to inform the compliance body of the Congregation of the Sisters of the Sacred Heart of Jesus and the Holy Angels of unethical conduct/s or that differ from the compliance standards established by the Congregation of the Sisters of the Sacred Heart of Jesus and the Holy Angels. In line with the above, the web address (https://fanjulytejado.responsabilidadpenal.com/canal-de-denuncias) will preferably be enabled as a reporting channel. This channel is managed by the Fanjul y Tejado, S.L. office, and any member or person related to the Congregation or its residences may report, confidentially or anonymously, the following:
I. Any fact, indication, irregularity, risk or knowledge of possible crimes and/or regulatory non-compliance in its scope and operation.
II. Any action contrary to the policies, protocols, procedures and internal codes established in terms of regulatory compliance, where applicable.
III. Any indication, suspicion or evidence of unethical or discriminatory behaviour, contrary to the equality of persons and possible workplace and/or sexual harassment.
IV. Any suspicious operation, incident or risk in the area of “prevention of money laundering and terrorist financing”, fraud, corruption or existence of conflicts of interest;
V. All other actions or omissions that may constitute a serious or very serious criminal or administrative offence or any violation of the rest of the legal system
VI. Any questions regarding the regulations
To report confidentially or anonymously, you must enter the code “ANGELICAS” and make your communication.
Finally, we would like to point out that the Internal Information System will guarantee, in all cases, the confidentiality of the identity of the informants and of any third party mentioned in the communication, in addition to the actions carried out in the management and processing of communications, taking into account, in all cases, the data protection regulations and preventing access by unauthorized personnel. As well as the prohibition of reprisals against anyone who, in good faith and in accordance with the legally established parameters, reports conduct or the appearance of conduct contrary to the law and/or internal regulations.
